Mark,
I use the Shibatch sample rate convertor (or SSRC for short). It 
is a command line program which does wonders for converting the Tivo 
audio. You can download it at http://shibatch.sourceforge.net for 
free. It has a two pass mode which is far superior to some of the 
commercial programs I have tried. You can also have it normalize the 
sound at the same time, which I find very helpful. Here's a sample 
command line you might use:

C:\>ssrc --rate 44100 --bits 16 --twopass --normalize --dither 1 
Input.wav Output.wav
